Terms of Use

1. Agreement to Terms


These Terms of Use (“Terms”) govern your access to and use of the services, software, APIs, and documentation provided by Temptera Limited (“Temptera,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms.


2. Eligibility


You must have the legal capacity to enter into binding contracts. If you are using the services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


3. Account Registration


You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.


4. License and Access


Subject to these Terms and payment of any applicable fees, Temptera grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services solely for your internal business purposes.


5. Acceptable Use


You agree not to:

  • Use the services for unlawful, fraudulent, or malicious purposes.
  • Violate intellectual property, privacy, or other rights of any third party.
  • Disrupt or interfere with the security or performance of the services or network.
  • Attempt to gain unauthorized access to any portion of the services or Temptera’s systems.

6. Fees and Payment


You agree to pay all fees specified in your subscription or order form. Fees are non-refundable except as required by law. Late payments may incur interest at the lesser of 1.5% per month or the maximum legal rate.


7. Intellectual Property


All copyrights, patents, trademarks, and other intellectual property rights in the services, associated software, and documentation are owned by Temptera or its licensors. You retain ownership of any data or content you submit to the services.


8. Confidentiality


Each party agrees to hold the other’s confidential information in strict confidence and to use it only as necessary to perform under these Terms. Confidential information does not include information that is publicly available or independently developed.


9. Warranties and Disclaimers


We warrant that the services will conform in all material respects to the published documentation. Except as expressly provided, the services are provided “as is” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.


10. Limitation of Liability


To the maximum extent permitted by law, our total liability for any claim arising under these Terms is limited to the fees paid by you in the twelve (12) months preceding the claim. In no event will we be liable for any indirect, incidental, special, or consequential damages.


11. Indemnification


You agree to indemnify, defend, and hold harmless Temptera and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the services or violation of these Terms.


12. Term and Termination


These Terms remain in effect until terminated. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Upon termination, your license ends, and you must cease all use of the services.


13. Governing Law and Dispute Resolution


These Terms are governed by the laws of Cyprus without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the courts of Nicosia, Cyprus.


14. General Provisions


  • Entire Agreement: These Terms, together with any order forms or subscription agreements, constitute the entire agreement between you and Temptera.
  • Amendments: We may update these Terms; material changes will be communicated in advance. Continued use constitutes acceptance.
  • Severability: If any provision is held invalid, the remaining provisions remain in full force and effect.
